Gerry GAN is a Partner in the China and Mergers & Acquisitions Practices. His main practice areas are mergers and acquisitions (involving public and private companies), equity capital markets transactions (initial public offerings and private placements) and general corporate law. He has been the Chief Representative of the Firm’s Shanghai Representative Office since 2004 and was based in Shanghai between 2004 and 2009.

Gerry graduated from King’s College London. He is admitted as a Barrister-at-Law (Middle Temple) in the UK and to the Singapore Bar. He served as the Vice President of the Shanghai Singapore Business Association from 2008 to 2009.

Relevant Experience

Significant transactions in which Gerry has been involved in include acting/advising for the following:

  • GGV Capital as co-lead investor (with Temasek as the other co-lead investor) in the Series A funding round of Oatside, Singapore’s first home grown oat milk brand, which raised approximately S$90.5 million.
  • Kuok (Singapore) Limited and Agrifert Holdings Pte. Ltd., as Singapore counsel, in the disposal of their fertiliser businesses in Indonesia and Malaysia to the Wilmar Group.
  • Keppel Land China, through a subsidiary in the sale of its 51% stake in Aether Limited the holding company of Beijing Aether Property Development to CBD Aether Center Ltd.
  • Canada Pension Plan Investment Board in relation to its US$375 million investment representing a 25% stake in Raffles City China Investment Partners III (“RCCIP III”) and in relation to the acquisition of the initial RCCIP III seed asset in the PRC. RCCIP III is a fund which will invest in prime integrated developments in gateway cities in the PRC, with a fund size of US$1.5 billion, and is CapitaLand Limited’s largest private capital-raising.
  • HanKore Environment Tech Group Limited (“HanKore”), a company listed on the Singapore Exchange, in its acquisition of the entire issued and paid-up share capital of China Everbright Water Investments Limited from China Everbright Water Holdings Limited (“Vendor”), which is wholly-owned by China Everbright International Limited, a company listed on The Hong Kong Stock Exchange (“Acquisition”). The transaction constituted a reverse takeover of HanKore Environment Tech Group Limited by China Everbright Water Holdings Limited and was valued at approximately S$1.2 billion.
  • Keppel Land Limited (“Keppel Land”) in the acquisition of a company that owns a prime commercial and office property located in the Chaoyang district in Beijing, PRC. This is Keppel Land’s first commercial development project in Beijing.
